Terms of service
Last updated: [To be confirmed: date these terms take effect]
These terms are an agreement between your organization and AgileOps Consulting [To be confirmed: full legal name of the entity and registered address] ("we") for the use of Carina at app.usecarina.com and usecarina.com. By creating an organization or using the service, you agree to them on your organization's behalf and confirm you're allowed to do so.
What Carina does
Carina helps licensed and applying fintech, digital-asset and payments firms organize their compliance work: checklists built from regulators' requirements, documents and their versions, fit-and-proper packs with electronic signatures, AI review of documents, submission packs, a log of regulator questions, and approval conditions.
What Carina does not do
- It does not give legal advice or interpret the law. Its checklists, guidance, reviews and drafts are tools for your people and advisers; they don't replace professional advice.
- It is independent of every regulator. Nothing in the service means a regulator has approved or endorses it, your application or your documents.
- It does not submit anything to a regulator. You decide what to send and you send it.
- It does not decide for you. AI reviews and drafts are suggestions. They can be wrong or incomplete, and quotes or references should be checked. Only your people close checklist items and approve answers.
- Templates may be incomplete. A template marked as a draft hasn't been verified against official sources. A verified template reflects its listed sources as of its verification date; requirements can change, and the regulator's own publications prevail.
Accounts and access
People sign in with one-time codes sent to their email. Your organization decides who to invite and with which role, and is responsible for what its members and advisers do in the workspace. Keep sign-in codes and pack links private; a pack link gives access to that person's pack until it is revoked.
Your content
Your organization owns the information and documents it puts in Carina. You give us permission to host, copy, process and display it only as needed to provide the service, including sending it to our AI provider when your organization uses AI features. You confirm you have the right to upload it, including any personal information about your directors, officers, staff or customers, and that you've told those people what's needed under the law that applies to you.
[To be confirmed: whether and how content may be used to improve the service, stated plainly; our position is that it is not used to train AI models.]
Acceptable use
Don't use Carina to break the law, to upload material you don't have the right to share, to try to reach another organization's data, to interfere with the service, or to resell it without our agreement.
Plans, payment and trials
- New organizations start with a trial. [To be confirmed: trial length.]
- The Apply plan is a fixed price that covers your license application for up to 12 months from payment. The price is shown at checkout.
- Payments are processed by Dodo Payments, which sells the plan to you as merchant of record and handles payment, tax and invoicing under its own terms.
- When a trial or paid term ends without renewal, the workspace may become read-only: you can still read and download everything, but not change it, until the plan is paid.
- [To be confirmed: refund policy and how renewals work.]
Availability and changes
We work to keep Carina available and secure but don't promise it will be uninterrupted or error-free. We may improve or change features; if a change significantly reduces what a paid plan includes, we'll tell account owners in advance. [To be confirmed: support channels and any service-level commitment.]
Ending the agreement
You can stop using Carina at any time. We may suspend or end access if these terms are seriously breached, after notice where possible. When an organization's account closes, it will have a chance to export its workspace before we delete it, except where the law requires us to keep something. [To be confirmed: export window.]
Disclaimers and liability
[To be confirmed by counsel: disclaimer of warranties, limitation of liability (including a cap), indemnities, and exclusions that can't be limited by law.]
Governing law
[To be confirmed by counsel: governing law and where disputes are resolved.]
Changes to these terms
We may update these terms. We'll update the date at the top and tell account owners by email before significant changes take effect. Continuing to use the service after that means accepting the updated terms.
